AngelLinx does not provide investment advice, arrange deals, manage investments, or hold client funds. We are not authorised or regulated by the Financial Conduct Authority (FCA) or any financial regulator.

Definitions

• Platform refers to the AngelLinx website, mobile app, and associated services.
• User refers to any individual or entity that registers on the platform.
• Entrepreneur refers to a startup, founder, or business representative listing an opportunity.
• Investor refers to a user seeking investment opportunities or engagements.
• Introduction means the technical facilitation of communication between users.

Platform Purpose

AngelLinx offers:

• A listing space for entrepreneurs to showcase projects
• A user directory and messaging system
• Team-building, networking, and other related tools

No part of the platform constitutes:

• Investment advice
• Deal structuring
• Execution of transactions
• Custody of funds
• Financial intermediation

Investor Eligibility

By registering as an investor on AngelLinx, you confirm that you meet the applicable investor qualification requirements in your jurisdiction.

• For UK-based investors: You represent that you are either a High Net Worth Individual (annual income £100,000+ or net assets £250,000+) or a Self-Certified Sophisticated Investor as defined by the UK Financial Conduct Authority (FCA).
• For U.S.-based investors: You represent and warrant that you are an Accredited Investor as defined under Rule 501 of Regulation D of the U.S. Securities Act of 1933 (including income, net worth, or professional certification criteria).
• For investors in other jurisdictions: You confirm that you satisfy the eligibility standards required under your local securities regulations.

Consent to Communications

By creating an account on AngelLinx, you agree to receive communications from us, including marketing messages, newsletters, product updates, and investment opportunity notifications. You may opt out of marketing communications at any time by using the unsubscribe link in our emails or adjusting your preferences in your account settings.

Deal Marketing & Promotional Communications

AngelLinx may promote, feature, distribute, or otherwise market opportunities listed on the Platform through its website, email communications, newsletters, events, social media channels, and other digital or offline marketing materials.

Such marketing activities are limited to the presentation of information provided by Entrepreneurs and do not constitute:

• Investment advice
• A recommendation or endorsement
• An offer, solicitation, or invitation to invest
• Deal arrangement or execution

All promotional communications are informational in nature and are intended solely to facilitate visibility and introductions between Users.

Entrepreneurs acknowledge and consent to AngelLinx marketing their listed opportunities to prospective investors and other platform users. Investors acknowledge that marketed opportunities are not vetted, approved, or endorsed by AngelLinx and must conduct their own independent evaluation and due diligence before engaging further.

AngelLinx reserves the right, but not the obligation, to determine how, where, and whether any opportunity is promoted, and may remove or limit promotion at its discretion.

No Advice or Endorsement

AngelLinx does not recommend or endorse any user, startup, or opportunity listed on the platform. You are solely responsible for your own investment decisions. We do not completely verify or guarantee the accuracy of listings or communications.

No Regulated Activities

AngelLinx does not engage in any activity requiring FCA authorisation, including but not limited to:

• Advising on investments (as defined in FSMA 2000)
• Arranging deals in investments
• Managing investment funds
• Holding or controlling client money

If our business model changes, we will apply for any necessary permissions or appoint a regulated partner.

Payment Services

• All payments are processed via third-party regulated payment providers (e.g. Stripe, Razorpay, etc.).
• AngelLinx does not collect, hold, or transmit investor funds.
• Payment processing is governed by the third party's terms.

User Responsibilities

• You are responsible for your own legal and financial due diligence.
• You must comply with all applicable laws and regulations.
• You understand that AngelLinx is a communications platform, not a financial intermediary.

Liability

AngelLinx shall not be liable for:

• Losses resulting from investment decisions
• Misrepresentations by users
• Platform outages or technical issues
• Regulatory or compliance failures by third parties

Use of AI & Data

To enhance the functionality and personalization of the platform, AngelLinx may utilize user-provided inputs — including campaign communication activity, and other interaction signals — to deliver relevant insights and AI-powered features.

Any usage of such data for system improvement is conducted in a secure, privacy-conscious manner, in line with our commitment. Sensitive information is never disclosed or shared externally. Users may request additional controls regarding their data usage.

SPV Facilitation Disclaimer

AngelLinx does not create or manage Special Purpose Vehicles (SPVs) or legal investment entities.

If users choose to collaborate through an SPV, AngelLinx only facilitates introductions to independent legal firms. The law firms engaged are solely responsible for the creation, compliance, and documentation of SPVs. AngelLinx bears no responsibility for any legal or financial consequences resulting from these engagements.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of London, UK.
