Why Do Two Zero-Dollar Filers Look So Different From Each Other?

Zero-dollar filings eased to 25.73% of September 23's 171-vehicle total, down from 31.88% the prior session. Forty-four of the day's vehicles reported no capital raised as of the filing date, and as covered in earlier sessions, that almost always signals a fund vehicle that has just been registered rather than a failed raise. What makes today's data particularly useful is that its two largest zero-dollar clusters sit on opposite ends of the spectrum AngelLinx Intelligence has been mapping out over the past several sessions, and placing them side by side makes the distinction unusually clear.

The day's largest zero-dollar cluster belongs to Dominic Ward, who signed nine separate filings for entities named Infinitas Capital SPV XXXIII through Infinitas Capital SPV XXXXV, each a series of Infinitas Capital Master LLC. The roman-numeral naming convention, running well past XL, and the shared master-series wrapper are the same administrative fingerprints AngelLinx Intelligence has flagged repeatedly, most recently in Bryan Casey's 19-vehicle, seven-wrapper spread covered in the prior session. This pattern, a single administrator pre-registering a long numbered sequence of otherwise identical vehicle series ahead of any individual series actually closing on capital, is now one of the most consistently recurring shapes in this dataset's zero-dollar filings.

The second-largest cluster, seven filings from Bruno Duguay, tells a different story entirely despite superficially resembling the first. All seven are Novacap-branded entities, Novacap US Digital Infrastructure II and six internationally structured siblings labeled A, B-I, B-II, C, D-I, and D-II. Novacap is an established Canadian private equity firm, and this lettered-tranche naming convention, rather than a numbered series running into the double or triple digits, is the signature of a single new fund vintage launching across multiple legitimate investor share classes and jurisdictions simultaneously, not an administrative back-office platform pre-registering placeholder vehicles. Every one of Novacap's seven entities reporting zero dollars on the same day is consistent with a fresh fund formally opening for its first close, not evidence of any unusual administrative activity.

Placed side by side, Ward's Infinitas Capital cluster and Duguay's Novacap cluster look almost identical from the zero-dollar count alone, nine filings against seven, both from a single signatory, both entirely zero-dollar. Only the entity names distinguish them: an unbroken run of roman numerals under one generic master-series wrapper points to administrative infrastructure, while a small set of differently lettered tranches under one recognizable institutional brand name points to a single fund's genuine multi-class launch. This is precisely the discipline AngelLinx Intelligence has urged in every prior zero-dollar story, that the zero-dollar flag alone reveals nothing, and only the filer and entity-naming context can separate a back-office administration pattern from a fund's ordinary first day on record.

Beyond these two clusters, the remaining zero-dollar filings in today's data are more evenly distributed across individual managers with no more than one or two filings each, including a notable appearance from Justin Ishbia, whose Shore Capital Partners platform AngelLinx Intelligence covered at length in an earlier session as a $5.98 billion single-day filer, here showing up with a single newly registered co-investment vehicle carrying no reported capital yet.

Today's overall zero-dollar rate of 25.73% also fits neatly into the range AngelLinx Intelligence has now tracked across roughly two weeks of daily coverage, a swing that has run from as low as 16.94% up to 31.88% session to session. With Ward's and Duguay's clusters together accounting for 16 of today's 44 zero-dollar filings, more than a third of the day's total, the pattern that has held across nearly every session so far continues to hold here: a handful of large multi-vehicle signatories, whether administrative platforms or genuine new fund launches, drive a disproportionate share of any single day's zero-dollar swing, far more than any broad shift in how often entirely new, unrelated fund managers happen to open their first vehicle on a given date.

Neither signal is definitive on its own, and both should still be checked against the filer's actual history in this dataset where possible, but together they offer a reasonably reliable starting heuristic for a category of filing that, by design, carries the least information of any entry in the dataset: a $0 total raised.
